These Terms of Service govern the business use of Secani, a software-as-a-service platform for cyber security compliance, evidence management, ISMS workflows, audit readiness, and AI-supported work.
Secani contracts with entrepreneurs and organizations acting in a business capacity. Consumer contracts are not offered unless expressly agreed in writing.
If a separately signed agreement, order form, data processing agreement, or enterprise contract contains different terms, that document takes precedence.
Contracts are concluded in German unless agreed otherwise. The German version of these terms under /de/terms controls if there is a conflict between translations.
A contract is formed when Secani accepts an order, confirms an offer, or otherwise grants access to the selected Secani plan.
Customers are responsible for ensuring that account information is accurate, that access credentials are kept confidential, and that only authorized users access the service.
The customer is responsible for all activity under its accounts, unless the activity was caused by Secani or by a breach of obligations attributable to Secani.
Secani provides software tools and AI-supported workflows. Secani does not replace the customer's own professional review, security judgment, legal assessment, or audit responsibility.
Customers must maintain their own backups of customer documents, evidence, exports, and other business-critical information unless a separate agreement states otherwise.
Secani may update the service to improve security, reliability, performance, user experience, and available functionality.
Customers remain responsible for the content, prompts, documents, controls, evidence, and other information they submit to Secani.
AI-supported output may be incomplete, inaccurate, or unsuitable for a specific use case. Customers must review output before using it in production, audit, contractual, legal, or regulatory contexts.
Secani may process customer content only as required to provide, secure, maintain, and improve the contracted service, subject to the applicable agreement and data processing terms.
Customers may use Secani only within the agreed scope, plan, number of users, and technical limits.
Customers must not misuse Secani, attempt unauthorized access, disrupt the service, reverse engineer protected parts of the service except where legally permitted, upload malicious code, or use Secani in violation of applicable law or third-party rights.
Secani may temporarily restrict access if required for security, operational integrity, legal reasons, or material breach of the agreement.
Fees, billing periods, usage limits, and payment terms are defined in the selected plan, order form, or separate customer agreement.
Unless otherwise agreed, fees are exclusive of statutory taxes and are due according to the invoice or checkout terms.
Secani and its licensors retain all rights in the software, product design, documentation, models, workflows, templates, and other protected materials provided by Secani.
Customers retain their rights in customer content. Secani receives the limited rights necessary to provide and operate the service.
Personal data is processed according to the privacy policy, the applicable data processing agreement, and the selected deployment or hosting model.
Each party must protect confidential information received from the other party and use it only for purposes connected with the contractual relationship.
Secani is liable according to the statutory rules for intent, gross negligence, injury to life, body, or health, and any liability that cannot legally be limited.
For slight negligence, Secani is liable only for breach of essential contractual duties and only for foreseeable damages typical for the contract, unless mandatory law provides otherwise.
German law applies, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.
If individual provisions are invalid, the remaining provisions remain effective. The parties will replace the invalid provision with a valid provision that comes closest to the economic purpose.
